    Sole Proprietorship Registration in India — everything you need to know

    What is a sole proprietorship?

    A sole proprietorship is the simplest form of business in India — a single individual owns, manages and controls the entire enterprise. There is no legal distinction between the owner and the business: all profits, losses, assets and liabilities belong to the proprietor personally. Income is taxed at the proprietor's individual slab rate.

    There is no single 'Certificate of Sole Proprietorship' under any Indian law. A proprietorship gets its legal identity through a combination of registrations — typically Udyam (MSME), GST, and a Shop & Establishment licence. Together, these unlock a trade name, a current bank account and the ability to raise tax invoices.

    The three registrations that actually matter

    1. Udyam / MSME Registration

    Free on the government portal, issued the same day, valid for life. It is the base KYC for banks, GeM, CGTMSE loans and MSMEd Act 45-day payment protection. Every proprietor should register — no exceptions.

    2. GST Registration

    Mandatory if turnover crosses ₹40L (goods) / ₹20L (services), or if you make inter-state / e-commerce / export supplies. Voluntary registration is common — it lets you raise tax invoices and claim Input Tax Credit.

    3. Shop & Establishment Licence

    State-specific; issued by municipal / labour department. Required for physical business premises and generally required by banks for current account opening. Delhi, Maharashtra, Karnataka, Tamil Nadu — most banks insist on it.

    GST for proprietors — thresholds, timing and voluntary registration

    GST becomes mandatory the moment your aggregate turnover crosses ₹40 lakh (goods) or ₹20 lakh (services) in a financial year. It also becomes mandatory from the first rupee for any inter-state supply, e-commerce sale (Amazon, Flipkart, Meesho, Zomato, Swiggy) or export of services. Freelancers billing foreign clients almost always need GST + LUT.

    Udyam / MSME — why every proprietor should register

    Udyam registration is free, takes minutes and unlocks a lifetime of benefits. Even a first-week freelancer with ₹0 turnover can register. The Udyam certificate is the mandatory KYC for CGTMSE loans, GeM procurement, priority-sector lending, TReDS invoice discounting, and Section 43B(h) protection that forces buyers to pay you within 45 days.

    Shop & Establishment — state-wise nuances

    Shop & Establishment Act licences are state-specific, issued by the local municipal or labour department. In Delhi it is the Delhi Shops & Establishment Act, in Maharashtra it is the Maharashtra Shops & Establishments (Regulation of Employment and Conditions of Service) Act. Requirements vary — some states require it only if you have paid employees, others require it for every business premises.

    Opening a current account in your business name

    Banks require documented proof that a proprietorship business exists. The RBI's KYC master direction accepts any two of the following as satisfactory proof: GST certificate, Udyam certificate, Shop & Establishment licence, professional certificate (CA, doctor), municipal trade licence, or IEC (for exporters).     How a proprietorship is taxed

    A proprietorship is not a separate tax entity — all business income is taxed in the hands of the proprietor at individual slab rates. This is fundamentally different from LLPs (flat 30%) and Pvt Ltds (22–25%). For most solo founders earning under ₹50 lakh, the slab-based individual taxation is actually cheaper than a company.

    Invoicing & bookkeeping — the first-month setup

    • Number invoices sequentially — INV-2026-001, INV-2026-002 — never reset mid-year.
    • For services, use SAC codes (mostly 9983 for professional services at 18%).
    • Maintain a simple spreadsheet (or Zoho Books / Vyapar) with sales, purchases and expenses.
    • Reconcile bank statement to books monthly — mismatch is the #1 cause of scrutiny 3 years later.
    • Keep every invoice, expense bill and bank statement for 8 years from the due date of the ITR.
