Verified checklist of every document needed to register a Pvt Ltd in India — for Indian and foreign directors, residential and commercial office addresses, and signed templates.
Share
Rejected MCA applications cost time, money and momentum. After hundreds of incorporations, we know exactly what tips the SPICe+ form into approval or rejection — and 80% of it is documents. This 2025 checklist covers every document you need to register a Private Limited Company in India: for Indian directors, foreign / NRI directors, residential offices, commercial offices and the registered company itself. When your documents are ready, our private limited company registration service files SPICe+ on your behalf.
The four document categories
Identity & address proof of every director / shareholder.
Registered office proof.
Subscriber-related declarations and templates.
Drafted MoA, AoA and SPICe+ forms (we handle these).
Documents for Indian directors / shareholders
Document
Specification
PAN Card
Mandatory. Name must exactly match other KYC.
Aadhaar Card
Mandatory, with linked active mobile for OTP.
Passport-size photo
Recent, colour, plain background, JPG ≤ 100 KB.
Email ID
Unique for each director (used for DSC + DIN).
Mobile number
Unique, India-based, linked to Aadhaar.
Address proof
Bank statement OR electricity / gas / telephone bill — not older than 2 months.
Driving licence / Voter ID / Passport
Any one as additional ID proof. Optional but speeds up DSC.
Pro tip
Address proof must show the director's current address, not the registered office. A common rejection is using the same utility bill for both.
Documents for foreign / NRI directors
Document
Specification
Passport
Mandatory. Must be apostilled (Hague convention countries) or notarised + consularised.
Address proof
Bank statement / utility bill / driving licence — also apostilled / notarised.
Passport-size photo
Plain background.
Business visa
If physically present in India for company-related work.
Email + foreign mobile
Used for DSC issuance via video KYC.
Quick note
Foreign nationals can hold 100% of shares subject to FDI sectoral caps, but at least one director must be a resident Indian (stayed in India 182+ days in the previous FY).
Registered office documents
If the office is owned by you or a family member
Latest utility bill (electricity / gas / telephone / property tax) — not older than 2 months.
NOC on plain paper from the owner permitting use of the premises as the registered office.
Copy of the ownership document is optional but useful.
If the office is rented
Rent agreement (notarised, current period).
Latest utility bill in the owner's name.
NOC from the landlord on plain paper.
If using a co-working / virtual office
Co-working membership agreement clearly stating the registered office address.
Latest utility bill / property tax receipt of the co-working operator.
NOC from the co-working operator.
Watch out
Utility bills older than 2 months are the single most common reason MCA returns the SPICe+ form. Always check the bill date before uploading.
Subscriber & company-specific documents
Two proposed company names (we run an MCA + IP India trademark check first).
Object clause — a 2–4 sentence summary of your business activity.
NIC code matching the business activity.
Capital structure — proposed authorised capital and paid-up capital per shareholder.
Share allocation table — who holds how many shares.
Director consent (Form DIR-2) — signed digitally via DSC.
Declaration by first directors and subscribers (Form INC-9) — auto-generated in SPICe+.
Documents we draft & file for you
Memorandum of Association (MoA) — INC-33.
Articles of Association (AoA) — INC-34.
SPICe+ Part A (name reservation) + Part B (incorporation).
Utility bill for office is in a third party's name without NOC.
Director photo too dark / blurry / not on plain background.
Foreign documents not apostilled — only notarised by a local notary.
Same mobile or email used for multiple directors (DSC fails).
Subscriber sheet signed but witness section blank or witness not eligible (must be an independent adult).
Send us photos of your documents on WhatsApp — we'll verify each one and flag issues BEFORE filing.
FAQ
Q1. Do I need notarised documents for Indian directors?
No. Self-attested copies are sufficient. Notarisation is only required for foreign nationals' documents (and even then, apostille is preferred under the Hague convention).
Q2. Can I use my Aadhaar as address proof?
Aadhaar is identity proof. For address proof, use a recent bank statement or utility bill — even if it carries the same address.
Q3. Is a PAN card mandatory for foreign directors?
No, foreign directors don't need PAN at incorporation, but they must apply for PAN within 30 days if they earn income from the company (director's remuneration, dividends).
Q4. What if my utility bill is in my landlord's name?
Perfectly fine. Submit the bill + a notarised rent agreement + a signed NOC from the landlord permitting use as the registered office.
Q5. Do all subscribers need to sign physically?
Yes — the subscriber sheet of MoA and AoA must be physically printed, signed by each subscriber and witnessed by an independent adult. The signed sheet is then scanned and attached to SPICe+.
Q6. Can a minor be a shareholder?
No. Minors cannot enter into contracts and therefore cannot subscribe to shares. Shares can only be held in a minor's name through a natural guardian, post-incorporation.
