The exact document checklist for LLP registration in 2025 — partner KYC, registered office proof, NOC, foreign partner documents and the most common rejection reasons.
MCA rejects roughly 1 in 4 LLP applications on the first attempt — almost always because of a document defect. Wrong address format, expired bill, missing NOC or a mismatched name across PAN and Aadhaar are the usual culprits. This guide is the definitive 2025 document checklist for LLP registration — for Indian partners, foreign partners and the registered office — plus the 10 most common rejection reasons and how to avoid them.
| Category | Document | Mandatory? |
|---|---|---|
| Partner KYC | PAN card | Yes (Indian) |
| Partner KYC | Aadhaar card | Yes (Indian) |
| Partner KYC | Passport | Yes (Foreign / NRI) |
| Partner KYC | Passport-size photo | Yes |
| Partner KYC | Address proof (bank statement / utility bill) | Yes |
| Partner contact | Email + mobile (unique) | Yes |
| Registered office | Utility bill (< 2 months old) | Yes |
| Registered office | Rent agreement (if rented) | Conditional |
| Registered office | NOC from owner | Yes |
| LLP | Subscriber sheet (auto-generated) | Yes |
PAN is mandatory for every Indian partner. The name on PAN must exactly match Aadhaar, bank account and other ID — even a comma, full stop or middle-name mismatch triggers rejection. If your PAN has 'PRABHU KUMAR' and Aadhaar has 'PRABHU KUMAR SINGH', correct one of them before applying.
Aadhaar is used for OTP-based authentication on the MCA portal. Your mobile number must be linked to your Aadhaar — without this, the DSC and FiLLiP submissions fail. Update your mobile at any Aadhaar enrolment centre before starting.
Recent passport-size photograph (last 6 months) on plain white background, JPEG/PNG under 100KB. Selfies, group photos or photos with backgrounds are rejected.
Any one of: bank account statement (last 2 months), latest electricity / gas / mobile post-paid bill, driving licence, voter ID or passport. The address must match the address on PAN or Aadhaar — if it's different, attach both.
For partners from Hague Convention countries — apostille from the relevant designated authority. For non-Hague countries — attestation by the Indian Embassy / High Commission in that country.
Latest electricity / water / gas / landline bill of the registered office premises — not older than 2 months on the date of FiLLiP filing. Mobile bills are NOT accepted. Bill must clearly show the address.
Duly stamped and signed rent agreement between the property owner and the LLP / proposed partner. Stamp duty applies as per state schedule. Photocopies are accepted if the original is being held by the landlord.
A simple No Objection Certificate signed by the property owner permitting the LLP to use the premises as its registered office. We provide a one-page template — your landlord just signs it and writes the date.
For home offices: use a utility bill in a parent's / spouse's name + an NOC from them. MCA accepts this for residences.
If a company / LLP is being admitted as a partner: COI of the body corporate, latest audited financials, board resolution authorising the partnership and the nominee individual's KYC.
Even between a husband-wife or parent-child, KYC of each partner is mandatory. Address proofs must independently establish identity.
Yes — as long as you have a utility bill in the virtual office provider's name + a valid NOC + rent / service agreement. MCA accepts virtual offices in major cities. Reputable providers like WeWork, Awfis and Innov8 issue all three on day one.
No. The entire process is online — Aadhaar OTP for KYC, DSC video verification, and digital signing of all forms. No physical visit required.
Use a parent's / spouse's bank statement or utility bill + a notarised affidavit declaring co-residence. MCA accepts this for partners staying with family.
Yes — all documents are uploaded as scanned PDFs / JPEGs. Originals are never needed by MCA, but keep them safe for any future verification.
