Documents Required for LLP Registration in 2025 – Complete Checklist

The exact document checklist for LLP registration in 2025 — partner KYC, registered office proof, NOC, foreign partner documents and the most common rejection reasons.

    Share

MCA rejects roughly 1 in 4 LLP applications on the first attempt — almost always because of a document defect. Wrong address format, expired bill, missing NOC or a mismatched name across PAN and Aadhaar are the usual culprits. This guide is the definitive 2025 document checklist for LLP registration — for Indian partners, foreign partners and the registered office — plus the 10 most common rejection reasons and how to avoid them.

    1. Partner KYC documents — Indian partners

    PAN card

PAN is mandatory for every Indian partner. The name on PAN must exactly match Aadhaar, bank account and other ID — even a comma, full stop or middle-name mismatch triggers rejection. If your PAN has 'PRABHU KUMAR' and Aadhaar has 'PRABHU KUMAR SINGH', correct one of them before applying.

    Aadhaar card

Aadhaar is used for OTP-based authentication on the MCA portal. Your mobile number must be linked to your Aadhaar — without this, the DSC and FiLLiP submissions fail. Update your mobile at any Aadhaar enrolment centre before starting.

    Photo

Recent passport-size photograph (last 6 months) on plain white background, JPEG/PNG under 100KB. Selfies, group photos or photos with backgrounds are rejected.

    Address proof

Any one of: bank account statement (last 2 months), latest electricity / gas / mobile post-paid bill, driving licence, voter ID or passport. The address must match the address on PAN or Aadhaar — if it's different, attach both.

    2. Partner KYC — foreign partners and NRIs

    • Notarised + apostilled passport (mandatory ID proof)
    • Notarised + apostilled address proof — utility bill, bank statement or driving licence
    • Recent passport-size photograph
    • Indian PAN (if previously allotted) or evidence of PAN application
    • Visa / OCI / PIO card copy (if currently in India)
    Quick note

For partners from Hague Convention countries — apostille from the relevant designated authority. For non-Hague countries — attestation by the Indian Embassy / High Commission in that country.

    3. Registered office documents

    Utility bill

Latest electricity / water / gas / landline bill of the registered office premises — not older than 2 months on the date of FiLLiP filing. Mobile bills are NOT accepted. Bill must clearly show the address.

Rent agreement (if premises are rented)

Duly stamped and signed rent agreement between the property owner and the LLP / proposed partner. Stamp duty applies as per state schedule. Photocopies are accepted if the original is being held by the landlord.

    NOC from owner

A simple No Objection Certificate signed by the property owner permitting the LLP to use the premises as its registered office. We provide a one-page template — your landlord just signs it and writes the date.

    Pro tip

For home offices: use a utility bill in a parent's / spouse's name + an NOC from them. MCA accepts this for residences.

    4. Internal LLP documents (we draft these)

    • Subscriber sheet — signed by all partners, witnessed
    • LLP Agreement — drafted, executed on stamp paper, signed by all partners + 2 witnesses
    • Form 9 — Consent to act as designated partner (signed by each DP)

    5. Entity-specific scenarios

    Body corporate as a partner

If a company / LLP is being admitted as a partner: COI of the body corporate, latest audited financials, board resolution authorising the partnership and the nominee individual's KYC.

    Single-member family LLPs

Even between a husband-wife or parent-child, KYC of each partner is mandatory. Address proofs must independently establish identity.

Top 10 reasons MCA rejects LLP applications

    1. 1Address mismatch between PAN, Aadhaar and address proof
    2. 2Utility bill older than 2 months on submission date
    3. 3Name proposed too similar to an existing LLP / company / trademark
    4. 4Objects clause too generic — 'any business permitted by law' is rejected
    5. 5Missing NOC from registered office owner
    6. 6Foreign partner documents not apostilled
    7. 7Subscriber sheet signed in blue ink (must be black)
    8. 8Photograph background not plain white
    9. 9DSC of designated partner expired or not in name as per PAN
    10. 10Rent agreement on plain paper without stamp duty

    Pre-application checklist

    • All partner names match exactly across PAN, Aadhaar and proposed LLP records
    • Aadhaar of every Indian partner is linked to an active mobile number
    • Utility bill of registered office is dated within 60 days
    • Rent agreement (if rented) has been stamped per state schedule
    • NOC from owner is signed and dated
    • Foreign partner documents are apostilled / consularised
    • All photographs are on plain white background, JPEG under 100KB
    • Email IDs and mobile numbers proposed for each partner are unique (not duplicated across partners)
    • Proposed LLP name is unique on MCA + trademark database — checked for both
    • DSC validity > 90 days from application date

    Frequently Asked Questions

Can I use a virtual office address as the registered office?

Yes — as long as you have a utility bill in the virtual office provider's name + a valid NOC + rent / service agreement. MCA accepts virtual offices in major cities. Reputable providers like WeWork, Awfis and Innov8 issue all three on day one.

Do partners need to be physically present at any stage?

No. The entire process is online — Aadhaar OTP for KYC, DSC video verification, and digital signing of all forms. No physical visit required.

What if I don't have an address proof in my name?

Use a parent's / spouse's bank statement or utility bill + a notarised affidavit declaring co-residence. MCA accepts this for partners staying with family.

    Are scanned copies acceptable?

Yes — all documents are uploaded as scanned PDFs / JPEGs. Originals are never needed by MCA, but keep them safe for any future verification.

Send your documents on WhatsApp — Taxpex's CS team verifies everything for MCA-readiness in under 2 hours. Zero rejection guarantee.
