    Share

LLP registration cost in India in 2025 typically falls between ₹7,000 and ₹15,000 end-to-end — depending on your state, capital contribution and whether you DIY or hire a professional. This guide gives you the exact line-item breakdown: government fees, stamp duty (state-wise), DSC, professional fees and the hidden costs most founders overlook. For a fixed-fee quote for your state, see our LLP registration service.

    Total cost summary

    SetupTotal cost (₹)
    DIY (own DSC + lawyer drafted agreement)₹5,000 – ₹8,000
    Taxpex managed (flat professional + actuals)₹7,500 – ₹13,000
    Premium law firm₹25,000 – ₹50,000

    Component-wise breakdown

    1. Digital Signature Certificate (DSC)

Every designated partner needs a Class-3 DSC for signing MCA forms. Cost: ₹600–₹1,000 per DSC, valid for 2 years. For a typical 2-partner LLP, budget ₹1,200–₹2,000.

    2. DPIN (Designated Partner Identification Number)

DPIN is allotted through the FiLLiP form itself — no separate fee. If you apply via a standalone Form DIR-3, it costs ₹500 per DPIN.

    3. Name reservation (RUN-LLP)

MCA charges ₹200 for the RUN-LLP form — covers up to 2 proposed names. If both are rejected, you re-file with another ₹200 fee. Reserved names are valid for 90 days.

    4. FiLLiP filing — government fee

This is the largest variable. Government fee depends on the LLP's total capital contribution at incorporation:

    Total contributionFiLLiP government fee
    Up to ₹1 lakh₹500
    ₹1 lakh – ₹5 lakh₹2,000
    ₹5 lakh – ₹10 lakh₹4,000
    Above ₹10 lakh₹5,000
    Pro tip

Most consultancies start with ₹10,000–₹50,000 of capital contribution to keep the FiLLiP fee at ₹500. You can increase contribution later via a supplementary LLP Agreement.

    5. Stamp duty on the LLP Agreement

Every LLP Agreement must be executed on stamp paper. Stamp duty varies sharply by state and is calculated on the capital contribution amount. Approximate rates for ₹1 lakh contribution:

    StateStamp duty (₹)
    Delhi₹1,000 (1% of contribution)
    Maharashtra₹1,000 (1%) or ₹500 minimum
    Karnataka₹1,000 (1%) capped at ₹10,000
    Tamil Nadu₹300 fixed
    Uttar Pradesh₹750 (cap varies)
    Gujarat₹1,000 (1%) capped at ₹10,000
West Bengal₹150 fixed for the first ₹1L slab
Telangana₹500 fixed (up to ₹1L contribution)
    Quick note

These are indicative; states revise duty schedules from time to time. Always confirm the current rate with a CA before paying.

    6. Form 3 (LLP Agreement) filing fee

Filing the executed LLP Agreement with MCA via Form 3 costs ₹50–₹150 depending on the contribution slab. Must be filed within 30 days of incorporation, else ₹100/day late fee with no cap.

    7. Professional / consultancy fees

This is where pricing varies the most. A DIY filing with a CS-drafted agreement costs ₹2,000–₹4,000 in professional fees; a managed service like Taxpex offers flat ₹5,999 covering DSC, name approval, FiLLiP, COI and a custom LLP Agreement; premium law firms charge ₹20,000–₹40,000+ for the same scope.

    Frequently Asked Questions

Is there any subsidy for LLP registration?

No — there is no direct government subsidy. However, MSME / Udyam registration (free) gives you priority sector lending and access to other benefits post-incorporation.

Is the professional fee tax deductible?

Yes. Incorporation expenses are amortised under Section 35D of the Income Tax Act over 5 years, or treated as a pre-operative expense in the first year's P&L.

Can I increase capital contribution later?

Yes — via a supplementary LLP Agreement and Form 3 filing. You'll pay differential government fee and additional stamp duty on the increased amount.

Why is Pvt Ltd registration sometimes cheaper?

It rarely is — Pvt Ltd has higher ROC fees and stamp duty on MoA / AoA, plus mandatory audit from year one. The total 5-year cost of ownership is always higher for Pvt Ltd.
