Documents Required for Partnership Firm Registration in India

The exact partner KYC, office proof and deed-related documents needed to register a Partnership Firm — with state-wise stamp duty notes.

    Share

Most partnership registrations get delayed not because of legal complications, but because partners share the wrong or incomplete documents. This guide lists every document you will need — for the partners, for the office and for the partnership deed itself — along with state-wise stamp duty notes so you don't get surprised on filing day.

    Documents from each partner

    • PAN Card (mandatory — used for firm PAN linkage and tax filings).
    • Aadhaar Card linked with current mobile number (for OTP verification).
    • Address proof — voter ID, passport or driving licence (any one).
    • Recent passport-size colour photograph.
    • Email ID and mobile number for portal communication.
    • Specimen signature (taken at deed signing).

    Documents for the registered office

    • Latest electricity bill OR property tax receipt of the office premises (not older than 2 months).
    • If owned by a partner — title deed or sale agreement.
    • If rented — registered rent agreement + No Objection Certificate (NOC) from the landlord on plain paper.
    • Utility bill in the landlord's name if rented from a relative.

    Documents for the Partnership Deed

The deed must be executed on non-judicial stamp paper of the appropriate value as per state stamp duty law. The stamp duty depends on the capital contribution and the state of registration.

    StateStamp Duty (typical)Notes
Delhi1% of capital, min ₹200Notarisation required
Maharashtra₹500 (capital up to ₹50,000) + slabs aboveHigher slabs for big capital
    Karnataka₹500 + 1% of capitalCap of ₹10,000

    Quick note

Taxpex confirms the exact stamp duty for your state at the start so there are no surprises.

    • Cancelled cheque of the proposed current account (if already chosen).
    • Business activity description / NIC code (we help finalise).
    • Capital contribution split sheet — who is paying how much and when.
    • Profit-sharing matrix.

    Common document mistakes

    1. 1Aadhaar not linked to current mobile — OTP failure delays the whole process.
    2. 2Rent agreement on plain paper without registration in states where registration is mandatory above 11 months.
    3. 3Using residential electricity bill for commercial premises in states that require commercial proof.
    4. 4Profit-sharing ratio not totalling 100% in the deed.
    5. 5Missing two witnesses at deed signing.
    Watch out

If the deed is not stamped at the correct value, the Registrar of Firms will reject the application and you'll have to redo the deed.
