Step-by-step Udyam registration walkthrough for 2025 — eligibility, classification limits, documents, fees, common errors and how to download the MSME certificate.
MSME (Micro, Small and Medium Enterprises) registration — officially called Udyam Registration since 1 July 2020 — is the single most under-used compliance lever for Indian businesses. It's free, online, paperless, and unlocks collateral-free loans, subsidised interest rates, the 45-day payment protection under the MSMED Act, GeM tender access, and a long list of state-level subsidies. This 2025 guide walks you through the entire Udyam process — who qualifies, what to keep ready, every screen on the portal, and the small mistakes that can void your certificate. You can also use our MSME registration service and skip the portal entirely.
MSME registration is the government's official recognition that your business qualifies as a Micro, Small or Medium Enterprise under the MSMED Act, 2006. Since July 2020, the registration is issued through the Udyam Registration Portal (udyamregistration.gov.in) and produces a single-page e-certificate with a unique 19-character Udyam Registration Number (URN) and a dynamic QR code. The certificate is paperless, lifetime-valid (subject to annual self-validation through ITR and GSTR data) and instantly verifiable online.
Older Udyog Aadhaar Memorandum (UAM) and EM-II registrations are no longer valid. Every existing MSME — even those who registered before 2020 — had to re-register on the Udyam portal. If you still hold only a UAM, your benefits have already lapsed.
Any business — proprietorship, partnership, LLP, private limited company, HUF, co-operative society, self-help group or trust — engaged in either manufacturing or services can register, provided it falls within the revised classification limits notified in 2020.
| Enterprise type | Investment in plant & machinery / equipment | Annual turnover |
|---|---|---|
| Micro | Up to ₹1 crore | Up to ₹5 crore |
| Small | Up to ₹10 crore | Up to ₹50 crore |
| Medium | Up to ₹50 crore | Up to ₹250 crore |
Both criteria — investment and turnover — must be satisfied. If you breach either, you move to the next slab. Export turnover is excluded from the turnover limit, which is a major advantage for IT services, freelancers and exporters.
Don't apply with a personal Aadhaar that's not linked to a mobile number — the OTP will fail. Update Aadhaar mobile linkage at any UIDAI centre first; it takes 24–48 hours.
Udyam registration on the official government portal is completely free. No filing fee, no professional fee, no platform charges. Beware of third-party websites that charge ₹2,000–₹5,000 claiming 'government fees' — these are scams. The only legitimate cost is professional assistance if you want a CA to handle classification, NIC code selection and post-registration compliance correctly.
Many private 'Udyam.gov' look-alike domains rank on Google and accept payments. The only official portal is udyamregistration.gov.in. If you've already paid such a site, ask for a refund and re-verify your certificate on the genuine portal — fake certificates do exist.
If your Aadhaar is mobile-linked, PAN is active and GSTIN data is correct, the entire registration takes 10–15 minutes and the certificate is issued the same day. Most rejections are caused by mismatched Aadhaar names, expired PAN cards, or NIC codes that don't match the business's actual operations.
The National Industrial Classification (NIC) 2008 code categorises every economic activity in India. You can pick up to ten codes. Your primary code drives sector-specific subsidies (textile, food processing, electronics, IT, etc.), bank loan eligibility under priority-sector lending, and your representation under the MSMED Act for delayed payments.
| Business type | Common NIC code | Description |
|---|---|---|
| IT services / SaaS | 62013 | Computer programming activities |
| Freelance designer / content writer | 74909 | Other professional, scientific and technical activities |
| E-commerce seller | 47919 | Retail sale via internet |
| Food manufacturing | 10791 | Manufacture of food products n.e.c. |
| Garment manufacturing | 14101 | Manufacture of wearing apparel |
| Consulting | 70200 | Management consultancy activities |
| Education / coaching | 85499 | Other education n.e.c. |
Pick your primary NIC code from your largest revenue activity — not your most recent one. The classification drives sector benefits for the next 12 months.
Businesses that registered under the older UAM (Udyog Aadhaar Memorandum) or EM-II system before July 2020 must migrate to Udyam. The portal has a separate 'For those already having registration as UAM' option — enter your UAM number and Aadhaar, validate OTP, and the new Udyam Registration Number is issued in minutes. Migration is free.
Udyam registration is lifetime-valid as long as the enterprise continues to operate within MSME limits. There's no renewal fee. The only annual requirement is to file your ITR and GST returns — the portal auto-syncs investment and turnover data, and reclassifies your enterprise if you cross a slab. If you don't file ITR or GST, your data goes stale and the certificate can be marked 'inactive'.
| Entity type | Aadhaar required | PAN required | GSTIN required |
|---|---|---|---|
| Proprietorship | Proprietor's Aadhaar | Proprietor's PAN | If GST applicable |
| Partnership / LLP | Managing partner's Aadhaar | Entity PAN | If GST applicable |
| Pvt Ltd / OPC / Public Ltd | Authorised director's Aadhaar | Company PAN | Mandatory (since GST is mandatory for companies in most cases) |
| HUF | Karta's Aadhaar | HUF PAN | If applicable |
| Co-operative / Trust / Society | Authorised signatory Aadhaar | Entity PAN | If applicable |
No — MSME registration is voluntary. But without it, you cannot claim CGTMSE collateral-free loans, the 45-day MSMED payment protection, state subsidies, GeM tender preference or PSL-rate bank interest. For any growing business, it is functionally indispensable even though legally optional.
Yes. Freelancers, consultants, designers, developers, content creators and gig professionals all qualify under the 'services' category. Aadhaar + PAN is enough — no GSTIN is required if you're below the GST threshold. We cover this in detail in our freelancer-specific MSME guide.
You move to the next category automatically — Micro → Small → Medium — based on your filed ITR / GST data. You retain MSME status until you cross ₹250 crore turnover or ₹50 crore investment in plant & machinery, after which you exit MSME entirely.
Yes. Even a business incorporated yesterday with zero turnover can register. Enter zero turnover and the expected investment in plant & machinery. The certificate is issued, and turnover updates auto-flow once you start filing ITR / GST.
It's accepted as business identity proof by all scheduled banks, GeM, TReDS platforms, central PSUs, and most state tender portals. It is not a substitute for GSTIN, PAN or trade licence — those remain separately required.
Yes — one Aadhaar can be linked to multiple Udyam registrations, provided each business has a separate PAN. Proprietors typically register only one business per Aadhaar–PAN pair.
Section 15 of the MSMED Act requires every buyer to pay an MSME supplier within 45 days of accepting goods or services. Failure triggers compound interest at 3× the bank rate notified by RBI. From AY 2024-25, large buyers also cannot claim the expense as a tax deduction until the dues are paid — a powerful enforcement lever.
Yes — since July 2021, retail and wholesale traders are eligible for Udyam registration, but only for the limited purpose of priority sector lending. They do not get the full MSMED Act benefits like the 45-day payment protection.
Udyam registration in 2025 is free, fast and one of the highest-ROI compliance steps any Indian business can take. Twenty minutes of online filing unlocks lending, payment protection, tender preference and dozens of state-level subsidies for the lifetime of the business. The only real risk is doing it wrong — wrong organisation type, wrong NIC code, or registering on a fake site. Get it right the first time, file your ITR and GST on schedule, and your MSME status quietly compounds in your favour for years.
